Scheme Meetings and voting information
The capitalised terms used in this notice have, unless the context requires otherwise, the same meaning given to them in Part I: Explanatory Statement.
On 1 May 2026, the Supreme Court of Bermuda permitted the Company to hold meetings of creditors for the purpose of considering and, if thought fit, approving (with or without modification) a Scheme of Arrangement between the Company and its creditors.
At the Scheme Meeting of Insurance Creditors on 12th June 2026, the Insurance Creditors voted unanimously in support of the Scheme of Arrangement for Fleming International Reinsurance Ltd.
The Non-Insurance Creditors’ Scheme Meeting, originally scheduled for 12th June 2026, was adjourned at the request of a Non-Insurance Creditor who required additional time to consider the Scheme of Arrangement. At the reconvened Scheme Meeting of Insurance Creditors , which took place on 24th June 2026, the Non-Insurance Creditors voted unanimously in support of the Scheme of Arrangement for Fleming International Reinsurance Ltd.
