Scheme Meetings and voting information

The capitalised terms used in this notice have, unless the context requires otherwise, the same meaning given to them in Part I: Explanatory Statement.

On 1 May 2026, the Supreme Court of Bermuda permitted the Company to hold meetings of creditors for the purpose of considering and, if thought fit, approving (with or without modification) a Scheme of Arrangement between the Company and its creditors.

At the Scheme Meeting of Insurance Creditors on 12th June 2026, the Insurance Creditors voted unanimously in support of the Scheme of Arrangement for Fleming International Reinsurance Ltd.

The Non-Insurance Creditors’ Scheme Meeting on the same day was adjourned at the request of a Non-Insurance Creditor who required additional time to consider the Scheme of Arrangement. Importantly, the date of the Sanction hearing, 26 June 2026, will not be affected by this adjournment.

The Scheme Meeting of Non-Insurance Creditors will now commence at 10.00 a.m. (Bermuda time) on 24 June 2026 at PricewaterhouseCoopers Advisory Limited, Washington House, 4th Floor, 16 Church Street, Hamilton, Bermuda. If you are a Non-Insurance Creditor and you have not already submitted your vote, you may vote at the Non-Insurance Creditors’ Scheme Meeting (in person or by proxy) by following the instructions in the Voting and Proxy Form. In order to vote at the meeting, Non-Insurance Creditors are required to return a validly completed Voting and Proxy Form to the Company by e-mail: bm_FIRe@pwc.com or by post: PricewaterhouseCoopers Advisory Limited, Washington House, 4th Floor, 16 Church Street, Hamilton, HM11, Bermuda, so that it is now received by no later than 12:00 noon (Bermuda time) on 23 June 2026.

If any Non-Insurance Creditor who has already voted wishes to change their vote, they should also do so by 12:00 noon (Bermuda time) on 23 June 2026.
